ازدواجية قواعد انقضاء شركة المساهمة: بين القواعد العامة و القانون المصرفي

الملخص
محاولة من المشرع التوفيق بين الطبيعة التجارية للنشاط المصرفي ودوره في الاقتصاد، أولى اهتماما خاصا للمهنة البنكية من خلال إخضاعها لقواعد استثنائية سواء عند إنشاءها أو انقضائها،كان الهدف من الدراسة بيان اثر تدخل المشرع لتنظيم المهنة البنكية وأنشطتها بموجب أحكام قانون النقد والقرض والنصوص المكملة على تطبيق القواعد العامة المتعلقة بانقضاء شركة المساهمة في المجال البنكي. لنصل إلى نتيجة أن جعل المشرع النشاط المصرفي في تبعية إزاء الدولة من خلال إخضاعه لنظام استثنائي بالمقارنة بالأنشطة التجارية الأخرى ، أدى إلى إخضاع المؤسسة البنكية من حيث الانقضاء لازدواجية النظام، فهي تخضع كأصل عام للقواعد العامة المتعلقة بانقضاء شركة المساهمة ،واستثناءا للقواعد الخاصة -خروجا عن القواعد العامة -المقررة ضمن أحكام قانون النقد والقرض،التي جعلت النشاط البنكي نشاط تجاري منظم يخضع لنظام استثنائي له خصوصيته. An attempt by the legislator to reconcile the commercial nature of banking activity with his role in the economy, he paid special attention to the banking profession by subjecting it to exceptional rules, whether when it was established or eliminated, the purpose of the study was to show the effect of the intervention of the legislator to regulate the banking profession and its activities under the provisions of the Monetary and Loan Act and the provisions complementary to the application of the general rules concerning the expiry of the joint stock company in the banking field. To reach the conclusion that making the legislator banking activity dependent on the state by subjecting it to an exceptional system compared to other business activities, led to the subjection of the banking institution in terms of expiry to the duplication of the system, it is subject as a general asset to the general rules concerning the expiry of the joint stock company, and an exception to the special rules - a departure from the general rules - established within the provisions of the Monetary and Loan Act, which made banking activity an organized business activity subject to an exceptional system of privacy.
