الحضور الإلكتروني لاجتماعات مجلس الإدارة (بين المشاركة الفعالة وتجنب إشكالات العلم بالصفة الجرمية للقرار من عدمه)

الملخص
يتوقف أداء شركة المساهمة على مدى كفاءة الإدارات واستجابتها لمجموعة الضوابط والمعايير العالمية المعتمدة في إدارة الشركات التجارية، وتأتي في مقدمتها الكفاءة والخبرة، والنزاهة والشفافية في اختيار أعضاء مجلس الإدارة، و كذا مساءلتهم جنائيا عن الجرائم التي يرتكبونها أثناء أدائهم لمهامهم التسييرية، لذا سيظل نجاحها وقيامها رهينا بإدارتها بشكل مسؤول باعتبارها الآلية الناجعة لعدم تعرض أموال الشركة لسوء الإدارة والتسيير. إلا أن هذه المسؤولية الجنائية تطرح عدة اشكالات قانونية بخصوص اسنادها للعضو الغائب عن قرارات المجلس المنطوية على جرائم ، خاصة في ظل غياب النصوص التشريعية التي تضبط المسألة بدقة ووضوح، وإن كان حضوره أمر ضروري تفرضه مصلحة الشركة والمساهمين والغير، كما أن صفة العضوية تكليف له بمهام التسيير وليس تشريف، ومن ثمة للخروج من هذه الاشكالية يمكن ادراج نصوص قانونية تنظم وتضبط عملية عقد اجتماعات مجلس الادارة عن بعد وفق تقنيات تكنولوجية عالية كاستثناء عن الحضور الفعلي، ذلك لما له دور كبير اسناد أو انتفاء المسؤولية الجنائية للعضو الغائب عن القرارات المنطوية عن الجريمة التي اتخذها المجلس. of which is efficiency and experience, integrity and transparency in the selection of members of the board of directors, as well as their criminal accountability for the crimes they commit while performing their facilitative duties, so its success and establishment will remain It is contingent on managing it responsibly as it is the effective mechanism for not subjecting the company's funds to mismanagement and mismanagement.
