الملخص
تهدف هذه الورقة البحثية إلى إضفاء الصّورة الحقيقيّة والقانونيّة على عمليّة تداول شهادات الاكتتاب في شركات المساهمة، وتسعى لإرساء الإطار الفعّال لها من خلال تبيان نطاق تداولها الّذي يتراوح بين الحظر والإباحة. كما تهدف إلى إزالة الغموض الّذي يشوب ويصاحب عمليّة تداول شهادات الاكتتاب في شركات المساهمة، انطلاقا من المبدأ العامّ المتمثّل في حظر تداول شهادات الاكتتاب والاستثناء الوارد عليه، وصولا إلى الجزاءات المترتبة عن مخالفة هذا الحظر، ولعلّ الغاية من كلّ ذلك هو إرساء الإطار الفعّال لهذه العمليّة، ولمواكبة التّطوّرات الرّاهنة الّتي يعرفها المناخان الاقتصاديّ والتّجاريّ بصفة عامّة، وما تشهده التّشريعات والقوانين المنظّمة لشركات المساهمة من إصلاحات جذرية بصفة خاصّة، كون هذا النّوع من الشّركات أصبح يشكّل في وقتنا المعاصر الحلقة الأهمّ في اقتصاديّات الدّول، ويمثّل العمود الفقري الّذي ترتكز عليه التّنمية المستدامة . The purpose of this research paper is to provide a real and legal image of the process of trading of subscription certificates in joint-stock companies, and establish an effective framework for them, in order to show the scope of their transactions, ranging from prohibitions and permissions. It also aims to clarify the process of trading of subscription certificates in joint-stock companies, in accordance with the general principle of banning the trading of subscription certificates and the exception to this principle, including the sanctions resulting from the violation of this prohibition. The purpose of these actions is to establish an effective framework of the process of trading stocks, in order to accompany the current developments in both economic and commercial climate in general. In addition to the radical reforms nowadays related to legislation and laws governing the joint-stock companies, taking into account the fundamental role of these kinds of companies in economic growth and sustainable development.
