مقاربة سوسيوتنظيمية لمفهوم حوكمة الشركات A Socio-organizational Approach To Corporate Governance Concept

الملخص

انصرف اهتمام المؤسسات المعاصرة في العقدين الأخيرين إلى حوكمة الشركات باعتبارها أحد المداخل الأساسية للإدارة الرشيدة، وتوليد القيمة الاجتماعية؛ صحيح أن هذا المفهوم قد ارتبط أول ظهوره بالجهود الجادة لمكافحة الفساد وإضعاف شوكته وتجفيف منابعه، تحقيقا للنجاعة الاقتصادية، غير أنه ما لبث أن غدا كذلك أسلوبا إداريا ومنهجا أخلاقيا تستمد منه المؤسسة شرعيتها الاجتماعية، وتمارس من خلاله مواطنتها الصالحة في الفضاء الاجتماعي؛ لاسيما بعد بروز اتجاهات حديثة في الفكر التنظيمي، ومواثيق دولية وأطر تشريعية وتنظيمية وطنية تنص على ضرورة تعزيز المعايير الأخلاقية في الممارسات الإدارية، وتفعيل آليات المسؤولية الاجتماعية، وإعادة تشكيل الإدارة الإنسانية للمؤسسات ومنظمات الأعمال. In the last two decades, the interest of contemporary institutions has turned to corporate governance as one of the main approaches to rational management and the generation of social value. It’s true that this concept was first associated with serious efforts to combat corruption, weaken its strength and dry up its sources, in order to achieve economic efficiency, but it soon became a management style and an ethical method from which the institution derives its social legitimacy, and through which it exercises its good citizenship in the social space ; Especially after the emergence of recent trends in organizational thought, international charters and national legislative and regulatory frameworks that stipulate the necessity of strengthening ethical standards in administrative practices, activating social responsibility mechanisms, and reshaping the human management of institution and business organizations.
