حوكمة الشركات في ظل أزمة فيروس كورونا – كوفيد19

الملخص
إن ظهور فيروس كورونا، و انتشاره السريع في العالم، وتأثيره على الجانب الصحي والاجتماعي، وضع الحكومات في حالة استنفار لوضع خطط لاحتواء الفيروس و توقيف انتشاره باعتماد الحجر، ما انعكس على الاقتصاد العالمي والشركات على وجه الخصوص، فنظرا لحالة عدم اليقين و ضبابية الرؤية المستقبلية، خصوصا بعد عجز المختصين عن إيجاد علاج للفيروس و بالتالي توقع انتهائه و عودة الحياة الطبيعية، أصبحت المعلومة و "الافصاح" عنها في الوقت المناسب و"الشفافية" مطلوبين و ضرورة ملحة أكثر من أي وقت مضى، و التي تعتبران من أهم مبادئ حوكمة الشركات، وأصبحت مجالس الادارة في امتحان صعب لمحاولة التعايش مع الواقع المفروض، وتبين أن تطبيق حوكمة الشركات بطريقة صحيحة كان لها اثر جيد في تقليل تأثير الجائحة لحد ما مقارنة بغيرها، وبالتأكيد فإن هذه الأزمة كانت سببا في تطور أساليب الإدارة و تصحيح الأخطاء التي اصطدمت بها خلال هذه الفترة. The emergence of the Corona virus “COVID19”, its quick spread all over the world and its impact on the healthy and the social sides lead the governments to find solutions in order to limit its spread through quarantine. This decision has influenced the international economy and more precisely the companies. Due to this ambiguous situation especially with the difficulty of finding the appropriate treatment to this virus, no one can expect its end and the return to the normal life. As a result to these circumstances, giving the information and transparency become necessary as they are considered among the most important principles of the corporate governance and of course the board of directors must face this hard situation. It is clear that the application of a good corporate governance helped in decreasing the negative impact of this virus. As a result, this crisis is considered as a reason behind the development of different management methods to be updated with this hard period.
