الاتفاقيات المبسطة للأسهم المستقبلية: دراسة شرعية في التأصيل والتقويم

الملخص
ملخص يتناول هذا البحث فكرة جديدة في المشهد الاستثماري والتمويلي لا سيما في العالم العربي، وهي فكرة الاتفاقيات المبسطة للأسهم المستقبلية Simple agreement for future equity، والتي تتمحور حول رأس مال يدفعه مستثمر إلى شركة ناشئة كي تستحيل أسهمًا فيها مستقبلاً وفقًا لآليات مختلفة. سعى هذا البحث إلى تحرير مفهوم هذا النوع من الاتفاقيات وبيّن أبرز أشكالها المطروحة في عالم التمويل، وأهم الأحكام المتعلقة بها مما يسهل إدراكها تصورًا وحكمًا. وكذلك حاول البحث التنقيب عن التكييف الفقهي الملائم للاتفاقية المبسطة للأسهم المستقبلية مستعرضًا عدة تكييفات فقهية محتملة، ثم اختتم البحث بالحديث عن الضوابط الفقهية التي يجب تحققها لسلامة هذا النمط من العقود من المحاذير الشرعية. استند هذا البحث إلى المنهج التحليلي بالدرجة الأولى، حيث قام بتحليل الإطار المفاهيمي لهذا العقد وتفكيكه بما يهيئ للقارئ الوصول إلى الحكم الشرعي الملائم. الكلمات المفتاحية: الاتفاقية المبسطة، الاتفاقية المبسطة للأسهم المستقبلية، بنك التنمية، عقد، الأسهم. Abstract This research tackles an innovative idea in the investment and financial scene particularly in the Arab World. That is the idea of the simple agreement for future equity which concerns capital paid by an investor to a start-up for the aim of acquiring its shares in the future through various mechanisms. The present research seeks to analyze the concept behind this type of agreement and the several forms it takes in the world of finance. These are the main provisions relating thereto, which facilitate their conception in terms of both perceptions and regulations. Furthermore, in examining different possible Sharia interpretations of the simple agreement for future equity, the research attempts to find the relevance adopted from Islamic jurisprudence. The research concludes by discussing the jurisprudential conditions that had to be met in order to ensure the validity of these kind of agreements. The research relies essentially on the analytical method, as it analyzes and deconstructs the conceptual framework, providing a reader-friendly manner to find an adequate Islamic adoption for these agreements.
