الملخص
شهدت أسواق المال العالمية خلال العقدين الماضيين أزمات مالية كشفت الفساد الواسع للمؤسسات المسجلة في البورصة مثل مخالفات شركة آنرون للطاقة وورد كوم عملاق الاتصالات الأمريكية، الأمر الذي دفع بمراكز البحث الأكاديمي والمهني وعلى رأسهم مركز المشروعات الدولية إلى وضع معايير للإدارة السليمة للشركات أطلق عليها مصطلح حوكمة الشركات، ولهذا الغرض تحاول هذه الورقة تحديد كيفية الاستفادة من هذه المعايير لتحقيق التسيير الفعال للمؤسسة بالاستفادة من تجارب الدول المتقدمة في تطبيق حاكمية المؤسسة. Over the past two decades, global financial markets have witnessed financial crises that have exposed the widespread corruption of listed companies, such as the violations of Enron Energy and Wordcom, the US communications giant, prompting academic and professional research centers, led by the Center for International Projects, to set standards for the sound management of companies called corporate governance. For this purpose, this paper attempts to determine how can these standards be used to achieve the effective management of the company, taking advantage of the experience of developed countries in the application of the governance of the company.
