Abstract
This research paper seeks to illustrate the role of principles included in corporate governance in enhancing the control of minority shareholders in joint stock Company on the actions that the board of directors is conducting, by exposure to its effects on the legal centers of shareholders, and its ability to achieve a balance between the stakeholders in the company. The study concluded that the application of these principles contributes to reducing the dominance of majority shareholders, and it greatly reduces the conflict of interests between the board of directors and the company, which is reflected in enabling the minority shareholders to exercising their supervisory role more effectively. تسعى هذه الورقة البحثية إلى بيان دور المبادئ التي تضمنتها حوكمة الشركات في تعزيز رقابة الأقلية في شركة المساهمة على الأعمال التي يقوم بها مجلس الإدارة، من خلال التعرض لآثارها على المراكز القانونية للمساهمين، وقدرتها على تحقيق التوازن بين أصحاب المصلحة في الشركة، وخلصت الدراسة إلى أن تطبيق هذه المبادئ يسهم في الحد من هيمنة أغلبية المساهمين، ويقلل بشكل كبير من تضارب المصالح بين مجلس الإدارة والشركة، مما ينعكس على تمكين الأقلية المساهمة من ممارسة دورهم الرقابي بشكل أكثر فاعلية.
