عن تأقلم النظرية العامة للعقد مع خصوصية عقود الأعمال

الملخص
تعتبر عقود الأعمال نماذج عقود جديدة فرضتها تطور الحياة الاقتصادية وانتعاش مجال الأعمال من باب إزدياد الحاجة لدى الأعوان الاقتصاديين الموجودين في السوق لامتلاك التكنولوجيا ورؤوس الأموال لغرض تحقيق الأرباح والتنافس مع غيرهم لاكتساب مكانة في تلك السوق. بذلك برزت عقود الأعمال كمفهوم جديد استمد قواعده ومبادئه من الحياة الاقتصادية مباشرة، الأمر الذي يجعل هذه العقود تتميز بخصوصيات لا نجدها في سائر العقود الأخرى خارج دائرة الأعمال. واختلفت في بعض جوانبها حتى عن النظرية العامة للعقد ، سواء من حيث الأطراف المبرمة لها أو طرق إبرامها وتنفيذها والآثار المترتبة عن ما بعد انقضاء هذه العقود. بذلك أثارت عقود الأعمال عدة إشكالات قانونية واقتصادية من أبرزها إشكالية تأقلم هذه العقود الجديدة التي عرفت إقبال و انتشار واسعا في مجال الأعمال مع النظرية العامة للعقد المنظمة في القانون المدني باعتبارها الشريعة العامة للعقدBusiness contracts are new contract models imposed by the development of economic life and the recovery of the field of entrepreneurship as part of the need for economic agents in the market to own technology and capital to achieve profits and compete with others to gain a position in that market , so business contracts emerged As a new concept derived its rules and principles from economic life directly, which makes these contracts characterized by peculiarities that we do not find in all other contracts outside the business circle , and differed in some aspects even from the general theory of the contract, whether in terms of the parties concluded by them or the methods of concluding and implementing them and the effects of the aftermath of the expiration of these contracts. Thus, business contracts raised several legal and economic problems, the most prominent of which is the problem of adapting these new contracts , which have known a wide demand and spread in the field of business, with the general theory of the contract organized in civil law as the general law of the contract.
