الملخص
ملخص غالبا ما تحتاج الشركة إلى أموال جديدة، و قد تعجز على الحصول على قروض جديدة، فتلجأ إلى زيادة رأسمالها، والغاية من هذه الزيادة هي دعم مركزها المالي، سواء حصلت على هذه الأموال من خارج الشركة أو من داخلها، و قد لا يكون هناك إقبال على أسهمها الجديدة إن طرحتها للاكتتاب العام، أو لا تريد زيادة عدد مساهميها، فقد تكون شركة ناجحة أو عائلية فتريد أن تبقي إدارة الشركة و ملكيتها فيما بين مساهميها، فتحصر الاكتتاب على هؤلاء فقط، وتخضع هذه العملية لشروط وإجراءات يقصد منها حماية المساهمين والشركة على حد سواء.
