آثار الاستبعاد القضائي للشريك في شركة التضامن

الملخص
يعتبر حق الشريك في البقاء في الشركة طيلة مدة وجودها من أهم الحقوق التي حماها المشرع الجزائري، خاصة في شركة التضامن كونها النموذج المطلق للشركة المغلقة ليس فقط بالنسبة للغير وإنما أيضا على الشركاء أنفسهم، إذا لا يجوز مبدئيا الدخول إليها أو الخروج منها بعد تكوينها، إلا أن المشرع أورد استثناء حيث اقر صحة حق كل شريك في الشركة أن يطلب من الجهة القضائية استبعاد أي شريك وأحاطه بمجموعه من الأحكام و الشروط، وإذا كانت بعض الشركات لا تتأثر باستبعاد الشريك منها إلا أن الأمر يختلف تماما في شركة التضامن كونها تتأثر بهذا الاستبعاد لأنها تقوم أساسا على الاعتبار الشخصي. The partner's right to remain in the company for its life time is one of the right protected by the Algerian lawmaker, especially in the partnership, because this type of company does not allow the partners to leave the company after his training. However, there is an exception, since the lawmaker give the right to exclude any partner from the company through the courts, but this right must comply with a set of provisions and conditions. And if some companies are not affected by the exclusion of one of the partners, it is not the same for the partnership being mainly based on the principle of intuitu personae. Le droit de l’associé de rester dans la société pendant toute la durée de son existence est l'un des droits protégés par le législateur algérien, en particulier dans les sociétés en nom collectif, car ce type de sociétés ne permet pas aux associés de quitter la société après sa formation. Cependant, il existe une exception, car le législateur a reconnu aux associés le droit d’exclure tout associé de la société par voix judiciaire, mais ce droit doit répondre à un ensemble de dispositions et de conditions. Et si certain types de sociétés ne sont pas affectées par l'exclusion d’un des associés, il en est pas de même pour la société nom collectif, car celle si sera affectée par cette exclusion du fait qu'elle est Principalement basé sur le principe d’intuis personnae .
