الملخص
يتناول المقال مراقبة تسيير شركة المساهمة من قبل مجلس المراقبة كونه يعد من المواضيع الهامة في قانون الأعمال نظرا لارتباطه بمصلحة الشركة والمساهمين، فيتبين أن المهمة الأساسية لمجلس المراقبة تكمن في مراقبة تسيير الشركة من قبل مجلس المديرين، فهو يتولى مراقبة شرعية تسيير مجلس المديرين ومدى ملائمته مع مصلحة الشركة. تظهر أهمية البحث في كون موضوع الرقابة على التسيير في شركة المساهمة من قبل مجلس المراقبة تثير العديد من التساؤلات لمعرفة ما إذا كانت الأحكام الحالية المنظمة لمجال المراقبة على التسيير في شركة المساهمة في كل من القانونين الجزائري والفرنسي، تعد كافية وكفيلة لتفعيل نظام الرقابة داخل الشركة، على أنه تم التوصل في النهاية على أن هناك غموض ونقائص كان على المشرعين تداركها لتفادي الإشكالات التي قد تثار من الناحية العملية. تبعا لذلك، يستدعي الأمر توضيح بعض المسائل وذلك من خلال إتباع المنهج التحليلي والمقارن في هذا الشأن. The article deals with monitoring the management of the joint-stock company by the Supervisory Board, as it is considered one of the important topics in the business law due to its connection with the interest of the company and the shareholders. The interest of the company shows the importance of research in the fact that the issue of control over the management of the joint-stock company by the Supervisory Board raises many questions to find out whether the current provisions regulating the field of control over the management of the joint-stock company in both the Algerian and French laws are sufficient and sufficient to erase the negatives of the traditional system However, it was concluded in the end that there are ambiguities and deficiencies that legislators had to correct in order to avoid the problems that may arise in practice. Accordingly, it is necessary to clarify some issues through an analytical and comparative approach in this regard.
