الملخص
شركة المساهمة هي الصورة المثلى لشركات الأموال فهي أداة للتطور الاقتصادي في العصر الحديث، الأمر الذي أوجب على المشرع التدخل لتقييد إرادة الشركاء الحرة، مما أدى إلى إضعاف الفكرة العقدية في هذا النوع من الشركات وبروز الطابع النظامي، كما أن المشرع تدخل لتنظيم هذه الشركة حتى أثناء ممارستها لنشاطهــــــا وهذا ما يظهر جليا في إدارتها من خلال هيئات منظمة وفق مبادئ لا يمكن مخالفتها. من خلال ما تقدم، يظهر الكم الهائل من القواعد الأمرة التي نظم بها المشرع شركة المساهمة، فماهي مظاهر الطابع النظامي في شركة المساهمة؟ تظهر هذه الفكرة جلية من خلال دراسة مسألتين، تتعلق الأولى بمدى تراجع فكرة العقد أمام فكرة النظام في شركات المساهمة، أما الثانية فتخص مظاهر الطابع النظامي في هذه الشركة. The joint stock company is the ideal image of money companies, it is a tool for economic development in the modern era, which forced the legislator to intervene to restrict the will of free partners, which led to the weakening of the nodal idea in this type of company and the emergence of a formality, and the legislator intervenes to organize this company even while practicing its activity, which is evident in its management through bodies organized in accordance with principles that cannot be violated. Through the foregoing, the vast amount of rules regulated by the legislator shows the joint stock company, what are the formalities of the joint stock company? This idea is evident by examining two issues, one concerning the extent to which the idea of a contract has declined in the face of the idea of the system in the joint stock companies, and the second concerns the formalities of this company.
