الملخص
يتضمن القانون التجاري الجزائري النظام القانوني لشركة المساهمة ذات مجلس الادارة. و باعتبارها من الشركات الكبيرة كان لابد من النص على تعيين مجلس الادارة و رئيسه فيها، و النص كذلك على اختصاصاتهما. لكن من الناحية القانونية و العملية توجد الكثير من الاشكالات في التسيير و الرقابة الداخلية في هذه الشركة، ذلك لعدم استقلال هيئة الرقابة الداخلية الدائمة ( مجلس الادارة) عن هيئة التسيير ( رئيس مجلس الادارة) و يمتد الاشكال حتى على مستوى وظائف كلا منهما. و هذا ما لا يساير المعايير العالمية لحوكمة الشركات. The commercial Algerian code contains the regulation of Joint Stock Company with board of directors. As it's a big Company the designation of directors in a board and of the Chairman is mandatory, and each organ has its attribution. However, on the legal side and in the practice there are difficulties in the management and in the inside supervision in the Company, because of the lack of independence between its two organs : the board of directors as inside control organ and the Chairman of the board as management organ; those rules that are not conforming to global Corporate Governance standards.
